NAME OF ORGANIZATION: STRATFORD HIGH SCHOOL PROJECT PROM
Article I. Purpose
The organization has been formed to operate exclusively for the purpose of the following:
Collection of monies raised by parents and Stratford supporters to help support students and parents of Stratford High School through programming throughout the student’s high school career. Annually, Stratford High School Project Prom will host “Project Prom,” an after-prom celebration which provides students a safe place to gather (alcohol and tobacco free) after the prom and celebrate the end of high school for the outgoing Stratford High School Senior Class.
Article II. Location The principal office of the association, at which the general business of the association will be transacted and where the records of the association will be kept, will be at such a place in the metropolitan area, state of Texas, as may be fixed from time to time by the board of directors. Unless otherwise fixed, it will be at 14806 Cindywood; Houston, Texas 77079.
Article III. Board of Directors
Section 1: The number of members of the board of directors of this organization will be no fewer than four or more than nine.
Section 2: Directors will be parent representatives of students currently attending Stratford High School and will share the mission and goals of the organization. This organization is committed to a policy of fair representation on the board of directors, which does not discriminate on the basis of race, physical handicap, sex, color, religion, sexual orientation, or age. Each participating graduating class shall have at least one representative on the Board of Directors.
Each participating graduating class should organize their representatives as needed, provided they have at least one representative from the roles of president or peer-leader, treasurer, or secretary.
Section 3: The Directors are volunteer positions, and the position will end after the student whose class they join under graduates or otherwise leaves Stratford High School.
Section 4: Any director may voluntarily remove themselves from the board of directors. The remaining directors may choose to replace that member or leave as is as long as the requirements of Section 1 and 2 are met.
Section 5: No compensation will be paid to any member of the board of directors or committee member for services as a member of the board. Expenses that are a direct result of the execution of the event will be reimbursed to board members and committee members with board approval.
Article IV. Meeting of the Board of Directors
Section 1: Meetings of the board of directors will be held each school semester for the purpose of planning the event. Additional meetings may be called if needed.
Section 2: Special informational meetings will be held each semester for parents to update on fundraising efforts.
Section 3: All major decisions made by committee chairs will first be approved by one or more of the board directors.
Section 4: If needed, Robert's Rules of Order will be the authority for all questions or procedure at any meetings of the association.
Article V. Officers
Section 1: The Directors will select the Committee Chairs. The chairs may then solicit their own volunteers.
Section 2: The Directors will be responsible for keeping the organization’s records. Each director or committee chair will keep notes, records, contracts and receipts of any transactions relating to expenses of the event. The designated treasurer will keep records of expenses from all committees and make any reimbursements or pay outstanding bills with two approved signatures on checks. The board of directors at its discretion may elect an assistant treasurer, not necessarily a member of the board of directors, who will perform the duties and assume the responsibilities of the treasurer as above set forth under the general direction of the board members.
Section 3: The Board of Directors will have general charge of finances of the organization. When necessary and proper, he or she will endorse on behalf of the organization all checks, drafts, notes, and other obligations and evidence of the payment of money to the organization or coming into his or her possession, in such bank or banks as may be selected by the board of directors. He or she will deposit the same, together with all other funds of the organization coming into his or her possession and will keep full and accurate account of all receipts and disbursements of the association in books belonging to the association, which will be open at all times to the inspection of the board of directors.
Section 4: Any officer of the association, in addition to the powers conferred upon him or her by these bylaws, will have such additional powers and perform such additional duties as may be prescribed from time to time by said board.
Article VI. Amendments
The board of directors may amend these bylaws to include or omit any provision that it could lawfully include or omit at the time the amendment is made. Upon written notice of at least 7 days, any number of amendments or an entire revision of the bylaws may be submitted and adopted as approved by a majority of the board of directors.
Article VII. Dissolution
Upon the dissolution of this organization and after the payment or the provision for the payment of all the liabilities of the organization, the board of directors will transfer any remaining funds across all Stratford High School class Project Prom events as a proportion of the funds contributed to the organization by each participating graduating class. Any remaining funds may be donated to Stratford High School or Spring Branch Education Foundation to apply towards a gift that is mutually agreed upon between students, staff and parent board members.

This is to certify that the foregoing is a true and correct copy of the Bylaws of the organization named in the title thereto and that such Bylaws were duly adopted by the Board of Directors of said organization on the date set forth above.
